Ms. Nguyen Thi Hong Van is a Partner of YKVN and is based in Ho Chi Minh City. Before joining YKVN in June 2007, Ms. Van had more than 13 years of legal experience, including 1 year at a leading local consultancy company and more than 12 years at a well -known foreign law firm in Vietnam. In her legal practice, Ms. Van focuses on foreign investment, corporate and commercial transactions, banking, labour, real estate and land issues.

Foreign Investment/Corporate. Ms. Van has provided legal advice on a wide range of issues to foreign investors in relation to all stages of their commercial, investment and operational activities in Vietnam. Ms. Van assisted Wartsila, a Finnish company in negotiation process with the Ministry of Industry of Vietnam, Electricity of Vietnam (EVN) regarding establishment and operation of a 120 MW BOT Power Plant in Ba ria- Vung Tau province, participating in preparing, negotiation and translation of documentation for the project including the BOT Contract, Power Purchase Agreement, Government’s Guarantee and consents and other relevant documents.

Ms. Van has assisted clients in various M&A transactions, changes in investment forms and foreign indirect investments in Vietnamese enterprises. Ms. Van is experienced in carrying out due diligence work in respect of business operations of enterprises in Vietnam on behalf of multinational companies and investment funds (including Indochina Capital Corporation, VinaCapital and Mekong Capital) pursuing business opportunities in Vietnam. Included in such were legal due diligences of some hotels located in Ha Noi and Ho Chi Minh City; Vedan monosodium glutamate (MSG) plant in Dong Nai; a steel complex and galvanized iron sheet factories In Dong Nai; a livestock farm and foodstuff processer, aquaculture, beverage and wine companies and hotels in Binh Duong, Kien Giang, Ninh Thuan, Can Tho, Ca Mau, and Ho Chi Minh City. Ms. Van has also conducted legal due diligence of Vietnamese joint stock banks in Ho Chi Minh City at the request of foreign banks considering bidding to be strategic partners of the Vietnamese bank as well as cooperating with local banks to provide gold trading accounts and other banking services. She also advised San Miguel Corporation in carrying out a number of legal due diligence reviews of Vietnamese and foreign invested enterprises operating in beer and beverage, foodstuff processing industries.

Ms. Van advised a leading Vietnamese advertising company in respect of a sponsorship contract for sport tournaments and co-operation contract with local television stations in determining a proper financial mechanism for such transactions.

Ms. Van has also assisted multinational and foreign-invested enterprises in Vietnam such as V- Track, Swire Pacific, Imperial Tobacco, Chutex, Leo Burnet, COA, La Farge etc. on a wide range of corporate matters to ensure their compliance with Vietnamese law during their business.

Real Estate/Land. Ms. Van has advised clients in respect of the land lease, office, residential lease, in preparing necessary documentation for foreign investors in obtaining the land use right with the most favourable terms and conditions in accordance with the laws of Vietnam. Ms. Van drafted full packages of standard forms for sale and purchase, lease in short term and long term basis of residential apartments, houses and office premises for various leading real estate developers in Ha Noi, Ho Chi Minh City and Da Nang. Ms. Van also provides legal advices on issues related to the Land Law, Housing Law, Real Estate Law in day to day operation of such clients. Among other clients, she has advised Vietcombank Fund Management, Saigon Metropolitan, Kumho Industrial, Chiap Hua Group (Saigon Tower, Parkland), Saigon Pearl, Sun Wah Tower, Indochina Riverside Tower, La Perla, Capitaland, Indochina Land Holdings, HITC, Mapletree, Tung Shing Group etc...

Ms. Van has assisted GS Engineering & Construction, a well-known Korean infrastructure company in negotiation of a BT (Build –Transfer) Contract with the People’s Committee of Ho Chi Minh City for development and construction of a new urban township and Binh Loi- Tan Son Nhat- Outer Road under the BT (build –transfer) form.

Banking and Finance. Ms. Van regularly advises HSBC, Calyon, Far East National Bank and Chinatrust in respect of taking deposit, lending, foreign exchange, administration and labour issues. Ms. Van has been involved in preparing compliance manual for a branch of a world-wide leading bank in Vietnam and provided legal advices to branches of foreign banks in Vietnam in their operation.

Labour Ms. Van regularly advices multinational and foreign invested enterprises on various labour-related issues relating to recruitment, labour contract, codes of conduct, internal labour rules, collective labour agreement, termination of labour contract and labour dispute resolution. Ms. Van’s clients include San Miguel Corporation, Intel, Sheraton Hotel and Tower, AC Niesel, Mapletree, COA, etc.
