M&A and Corporate Restructuring

We have the knowledge, infrastructure, technical capability and strategic perspective that are invaluable in helping clients select, implement and coordinate their strategies in Vietnam. Our extensive experience in M&A and critical mass of lawyers in our offices in Hanoi and Ho Chi Minh City ensure local legal advice at standards essential for such transactions, and the economies that result from experienced, coordinated transaction management.

We are a recognized leader in M&A and the firm has advised on many landmark deals in Vietnam. We are advising Bank for Foreign Trade of Vietnam on its strategic sale of shares as part of its equitization process. This is the first equitization of a Vietnamese State-owned bank and will set a template for future large bank M&A transactions in Vietnam. We have also advised Bank for Investment and Development of Vietnam and Industrial and Commercial Bank of Vietnam on the selection of financial advisors for their equitization process and are continuing to advise them on their strategic sales of shares. We are advising PetroVietnam Finance Company (PVFC) on its strategic sale of shares as part of its equitization process. This is the first equitization of a Vietnamese State-owned finance company and will set a template for future large finance company M&A transactions in Vietnam.

Our other representative deals include:

advising Bank for Private Enterprises of Vietnam (VP Bank) on its strategic sale of shares to Oversea-Commercial Bank of China (OCBC). This is one of the first sales of shares by a Vietnamese bank to a foreign strategic investor;
advising Vietnam Partners LLC, a US investment firm on its acquisition of shares in Saigon Securities Inc., a leading Vietnamese securities firm. This is the first acquisition by a foreign investor of shares in a Vietnamese joint stock securities company;
advising one of the world's largest financial groups on its attempted purchase of shares in Vietnam National Insurance Corporation (Bao Viet). This is the sale of shares in one of the largest State-owned companies being equitized;
advising Bank for Foreign Trade of Vietnam on its strategic acquisition of shares in Gia Dinh Commercial Joint Stock Bank. This is the first strategic acquisition by a Vietnamese bank in another Vietnamese bank;
advising Picnic Gas, a Thai company, on its purchase of a factory manufacturing cylinders from a private-owned company, and of an LPG business, including all assets, machines, factories and trade names, from a State-owned company in Vietnam. This is one of the rare asset acquisition deals in Vietnam; and
advising Saigon Real Estate Corporation (RESCO), a Vietnamese state-owned company, on its purchase of all shares in Vietnam Jin Wen Enterprise, a wholly foreign-owned company that is licensed to develop a complex building in Ho Chi Minh City. This is one of the first and rare acquisitions by a Vietnamese investor of shares in a foreign invested company in Vietnam.
Private equity is a key component of our M&A practice. We regularly advise Temasek Holdings, Deutsche Bank, Mekong Capital and Vietcombank Fund Management in their private equity transactions in Vietnam. We advised Temasek Holdings on its purchase of shares in Minh Phu Company. This is the acquisition of shares by a foreign investor in one of the largest listed companies in Vietnam. We also advised Temasek Holdings on all aspects of its attempted purchase of shares in a Vietnamese joint stock commercial bank. Our other representative deals include:

advising Vietcombank Fund Management on its acquisition of shares in Hoang Anh Gia Lai, a leading wood products and real estate conglomerate in Vietnam; and
advising Mekong Capital on its acquisition of shares in Mobile World (The Gioi Di Dong), a leading mobile distributor in Vietnam.
We have advised numerous multinational companies restructuring their operations in Vietnam in order to fully realize the value anticipated from strategic mergers or acquisitions and to help integration of Vietnam operations into their worldwide structures. We advised Procter & Gamble on the restructuring of Procter & Gamble Vietnam, a joint venture between Procter & Gamble and a Vietnamese company, and the acquisition by Procter & Gamble of the Vietnamese company's shareholding. This is the first major corporate restructuring of and buyout by a foreign investor in a foreign invested company in Vietnam. We advised Sampoerna in all aspects of the restructuring of its Vietnamese tobacco joint venture with Vietnam National Tobacco Corporation. We also advised a major Korean chaebol which manufactures electronic and home appliances in the restructuring of its subsidiaries in Vietnam. These deals are good examples of the team's work in Vietnam for major corporations on the restructuring of their businesses. The firm is able to provide a full range of corporate advice from complex M&A issues to local employment law matters.
