Ms. Le Thi Loc is a Partner of YKVN in Ho Chi Minh City. Her practice focuses on corporate matters and transactions, including foreign investment, M&A, trade, taxation and labor.

Foreign Investment and M&A. Ms. Loc regularly advises foreign investors on a wide range of issues relating to their commercial and investment activities in Vietnam. In the pre-licensing stage, she has assists clients in various industries in selecting an optimal investment vehicle for their schemes, and drafting all documentation required for licensing to obtain the most favorable treatments available in accordance with the applicable law of Vietnam.

In the post-licensing stage, Ms. Loc assists them to register business activities, draft and review various types of project contracts and documents, including those involving land, leases, employment, procurement, construction, technology transfer, borrowing, capital assignment and organizational restructuring.

Ms. Loc has a highly active M&A practice. Her recent and current representative deals include:

Advising a leading financial institution on its attempted purchase of shares in a joint stock commercial bank in Vietnam;
Advising a leading financial institution on its attempted purchase of shares in an equitized State-owned insurance company;
Advising Hanesbrands Holdings on its purchase of a textile factory from a 100% foreign owned company in Thua Thien Hue Province, Vietnam; and
Advising Picnic Gas, a Thai company, on its purchase of a factory manufacturing cylinders from a private-owned company, and an LPG business from a State-owned company in Vietnam.

Ms. Loc has carried out due diligence reports on numerous foreign owned companies in Vietnam in connection with the listing of their parent companies in the region and advised on all Vietnamese legal aspects required for such listing.

Trade and Taxation. Ms. Loc is a specialist on trade and taxation issues. Ms. Loc works closely with the international trade practice groups of Bryan Cave International Trade and White & Case in Singapore to update the latest trade regulations and import-export tariffs of Vietnam as well as Vietnamese law in regard to customs, export control, and other trade-related issues. She recently advised Vietnam Association of Seafood Exporters & Producers (VASEP) and its members in connection with a U.S. anti-dumping proceeding aimed at imposing anti-dumping duties on imports of catfish fillets from Vietnam. This is the first major trade controversy between Vietnam and the U.S. since the ratification of the U.S.-Vietnam Bilateral Trade Agreement. Ms. Loc also advised Vietnam Leather Association and its members in connection with an EU anti-dumping proceeding aimed at imposing anti-dumping duties on imports of shoes from Vietnam.

Labor. Ms. Loc regularly advises multinationals and foreign-invested companies operating in Vietnam on various labor-related matters including recruitment, employment contracts, social and medical insurance contributions, personal income tax, codes of conduct, internal labor rules, collective labor agreements, retrenchment, and labor disputes.

In addition to her role as a practising lawyer, Ms. Loc is also the administrative partner of the firm and she is responsible for systemizing the firm’s precedents and other resources and institutionalizing recruitment and marketing efforts.
